VI.PATENTANDSOFTWAREPROVISIONS:
MOTOROLAwilldefend,atitsownexpense,anysuitbroughtagainsttheenduserpurchasertotheextentthatitis
basedonaclaimthattheProductorpartsinfringeaUnitedStatespatent,andMOTOROLAwillpaythosecosts
anddamagesnallyawardedagainsttheenduserpurchaserinanysuchsuitwhichareattributabletoanysuch
claim,butsuchdefenseandpaymentsareconditionedonthefollowing:
1.thatMOTOROLAwillbenotiedpromptlyinwritingbysuchpurchaserofanynoticeofsuchclaim;
2.thatMOTOROLAwillhavesolecontrolofthedefenseofsuchsuitandallnegotiationsforitssettlement
orcompromise;and
3.shouldtheProductorpartsbecome,orinMOTOROLA'sopinionbelikelytobecome,thesubjectofa
claimofinfringementofaUnitedStatespatent,thatsuchpurchaserwillpermitMOTOROLA,atitsoption
andexpense,eithertoprocureforsuchpurchasertherighttocontinueusingtheProductorpartsorto
replaceormodifythesamesothatitbecomesnon-infringingortograntsuchpurchaseracreditforthe
Productorpartsasdepreciatedandacceptitsreturn.Thedepreciationwillbeanequalamountperyear
overthelifetimeoftheProductorpartsasestablishedbyMOTOROLA.
MOTOROLAwillhavenoliabilitywithrespecttoanyclaimofpatentinfringementwhichisbaseduponthe
combinationoftheProductorpartsfurnishedhereunderwithsoftware,apparatusordevicesnotfurnishedby
MOTOROLA,norwillMOTOROLAhaveanyliabilityfortheuseofancillaryequipmentorsoftwarenotfurnished
byMOTOROLAwhichisattachedtoorusedinconnectionwiththeProduct.Theforegoingstatestheentireliability
ofMOTOROLAwithrespecttoinfringementofpatentsbytheProductoranypartsthereof.
LawsintheUnitedStatesandothercountriespreserveforMOTOROLAcertainexclusiverightsforcopyrighted
MOTOROLAsoftwaresuchastheexclusiverightstoreproduceincopiesanddistributecopiesofsuch
MOTOROLAsoftware.MOTOROLAsoftwaremaybeusedinonlytheProductinwhichthesoftwarewas
originallyembodiedandsuchsoftwareinsuchProductmaynotbereplaced,copied,distributed,modiedin
anyway,orusedtoproduceanyderivativethereof.Nootheruseincluding,withoutlimitation,alteration,
modication,reproduction,distribution,orreverseengineeringofsuchMOTOROLAsoftwareorexerciseofrights
insuchMOTOROLAsoftwareispermitted.Nolicenseisgrantedbyimplication,estoppelorotherwiseunder
MOTOROLApatentrightsorcopyrights.
VII.GOVERNINGLAW:
ThisWarrantyisgovernedbythelawsoftheStateofIllinois,U.S.A.
SERVICE
Properrepairandmaintenanceprocedureswillassureefcientoperationandlonglifeforthisproduct.AMotorola
maintenanceagreementwillprovideexpertservicetokeepthisandallothercommunicationequipmentinperfect
operatingcondition.AnationwideserviceorganizationisprovidedbyMotorolatosupportmaintenanceservices.
Throughitsmaintenanceandinstallationprogram,Motorolamakesavailablethenestservicetothosedesiring
reliable,continuouscommunicationsonacontractbasis.Foracontractserviceagreement,pleasecontactyour
nearestMotorolaserviceorsalesrepresentative,oranauthorizedMotoroladealer.
RepairServiceAdvantage(RSA)ServiceAgreementsisapost-warrantyserviceofferingthatprovidesfortherepair
ofthisproduct.TheserviceagreementisrenewableannuallyforaslongasMotorolasupportstheequipment.For
